Pembina Pipeline Reaffirms Existing Transaction to Purchase Inter Pipeline
Pembina Pipeline Corporation confirmed that it does not intend to increase or otherwise change the consideration of 0.50 common shares of Pembina offered under its proposed acquisition of all of the common shares of Inter Pipeline Ltd. pursuant to the arrangement agreement signed by the parties, and unanimously recommended by the board of directors of Inter Pipeline.

Pembina believes that its strategic combination with Inter Pipeline is extremely compelling from an immediate and long-term value perspective and believes shareholders should vote in favor of the transaction.
Shareholders are encouraged to vote FOR the Strategic Combination in advance of the proxy voting deadlines of 10 a.m. Mountain Time (Inter Pipeline shareholders) and 1 p.m. Mountain Time (Pembina shareholders) on July 27 for the July 29 meetings of each of the respective shareholders. If approved, the Strategic Combination between Pembina and Inter Pipeline is expected to close late in the third quarter or early in the fourth quarter of 2021.
